End User License Agreement

BY DOWNLOADING THE SOFTWARE YOUR ARE AGREEING TO ALL THE TERMS IN THIS LICENSE AGREEMENT

END USER LICENSE AGREEMENT (EULA)

The LottieScript application software (the Software) that is made available on a CD (the Media) or Downloaded from our website, is the copyrighted work of TTH (The Town House) Ltd and its authorised resellers or agents. Use of the Software is governed by the terms of this EULA. This EULA shall commence upon acceptance by the End User Organisation (EUO) of these terms and shall continue in perpetuity. An EUO will be unable to install any software that requires prior agreement to or is accompanied by an EULA, unless they first agree to these EULA terms.

This copy of the Software is uniquely Serial Numbered and made available for the exclusive use of staff or other persons located within the EUO to whom it is registered. Any reproduction or redistribution of the Software, not in accordance with the EULA, is expressly prohibited by law and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent of the law.

By agreeing with these terms and paying for a valid license you will own the Media on which you operate the software but TTH retain title to the entire contents of said media and any copies which this license authorises you to make.

The Software may be installed on any PCs deployed by the EUO continuously within the location specified. The installation on portable devices that may be taken outside of the location is only permitted where such devices remain the sole property of the EUO and are in the sole charge of named employees of the EUO. Any use of the Software at additional sites requires additional licenses to be acquired.

The EUO may make back up copies of the Media as they see fit. Such copies may only be used as back up for the Media within the EUO, and are covered by the same terms and conditions as the original Media.

Without any limitations to the foregoing, any reproduction, transmission, or copying of the software to any other site, server or location for further reproduction or redistribution is expressly prohibited. You may not de-compile, reverse engineer or otherwise attempt to discover the source code or encryptions of the software, or knowingly allow such attempts. You may not rent, lease, loan, sublicense, distribute or create derivative applications in whole or in part outside of this agreement.

In the event of a complete buy out of TTH you agree to the new owners retaining your details for onward support of the product.

TTH warrants the original Media to be free of defects in material and workmanship under normal use for a period of 90 days from the date of delivery. Your exclusive remedy under this paragraph shall be, at TTH’s discretion, the issuing by TTH of replacement media. This does not limit any legal consumer rights. TTH hereby disclaims all warranties and conditions with regard to theirs and third party components of the software, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title and non-infringement.

TTH are bound to provide after sales technical support only by email or through the TTH website, where a valid license has been acquired through purchase. Technical support is limited to advice, hints and tips. Rectification of technical faults is not guaranteed.

You expressly acknowledge and agree that the use of the software is at your sole risk. The software is warranted only according to the terms of the EULA. Expressly TTH disclaim all warranties of fitness for purpose or that it will meet your requirements, or that the operation of the software will be free of interruption or errors, or that defects will be corrected, or that any reports or output is accurate. This does not limit any of your legal rights as a consumer.

TTH Software is considered electronic media and once you have installed the product and unlock key, there is no way to prevent further use. Therefore TTH’s software cannot be refunded or exchanged.

In no event will either party be liable for any damages, including any lost profits or revenues, loss of use of the software or any associated equipment, damage to associated equipment or other incidental, consequential, special or penal damages arising out of the use or inability to use the software.

The EUO will notify TTH of any breaches of this EULA howsoever they come to its attention.

This Licence Agreement shall be considered as a contract made in England and according to English Law and subject to exclusive jurisdiction of the English courts.
